Torna Health provides AI-driven clinical workflow automation, denial management, and prior authorization infrastructure strictly for healthcare providers (primarily oncology clinics). Our services are designed to reverse weaponized insurance denials and streamline revenue recovery.
3Enterprise Agreements (The Clinical Vault)
These Terms govern your use of our public-facing website. Use of our proprietary secure clinical platform is not governed by these public Terms.
4Eligibility
You must be at least 18 years of age and have the legal authority to enter into a binding agreement to use our website. By using our services, you represent and warrant that you meet these requirements.
5User Responsibilities
When interacting with our website or requesting a demo, you agree to:
Provide accurate, complete, and current business information.
Never submit Protected Health Information (PHI) through our public contact forms or unauthenticated channels. (PHI must only be submitted inside the secure, BAA-covered clinical vault).
Comply with all applicable federal healthcare regulations.
Not attempt to bypass our security firewalls (Google Cloud Armor) or probe our architecture for vulnerabilities.
6Intellectual Property & AI Infrastructure
All content, features, and functionality on our website—including text, graphics, logos, and our proprietary Agentic AI workflow designs—are the exclusive property of Torna Health, Inc. and are protected by intellectual property laws. You may not reproduce, reverse-engineer, or create derivative works from our architecture without prior written consent.
7Payment Terms
Fees for our clinical denial management services will be outlined exclusively in your separate Master Service Agreement (MSA).
8Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared prior to the execution of an MSA. Once an MSA and BAA are signed, all patient information, billing data, and clinical records are governed strictly by the BAA and our Zero-Retention AI policies.
9Disclaimer of Warranties & No Medical Advice
Torna Health is a technology company, not a healthcare provider. Our AI models, appeal engines, and software outputs do not constitute medical advice, diagnosis, or treatment. The treating physician retains 100% absolute responsibility for all clinical decisions and final review of any generated medical appeals. Our public services are provided "as is" and "as available" without warranties of any kind, either express or implied.
10Limitation of Liability
To the fullest extent permitted by law, Torna Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our public website.
11Indemnification
You agree to indemnify, defend, and hold harmless Torna Health, Inc., its officers, directors, and employees from and against any claims, damages, or liabilities arising from your violation of these public Terms.
12Termination
We reserve the right to suspend or terminate access to our public website or demo environments immediately if you breach these terms or attempt to compromise our cloud infrastructure.
13Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
